These Terms & Conditions ("Terms") govern your use of Memovio (the "Service"), operated by Tailored by Rubi ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Memovio is a generative-AI tool that turns user-provided photos into short cinematic videos. You purchase credits and spend them when creating projects.

2. Eligibility & Account

You must be of legal age in your jurisdiction (or have appropriate authority to bind the organisation you represent). You are responsible for keeping your account credentials confidential and for all activity on your account, and you agree to provide accurate information.

You retain ownership of the photos you upload and the videos generated for you. You grant us a limited license to host and process your content solely to provide the Service. You are responsible for your prompts, for how you use outputs, for verifying that outputs are appropriate for your use, and for ensuring you have all necessary rights to the input content. AI outputs may contain inaccuracies and are not a substitute for professional advice. We may remove, restrict, or refuse content that violates these Terms, and we operate a takedown process for rights-holders.

5. Intellectual Property

The Service itself, including software, design, and branding, is owned by Tailored by Rubi and protected by applicable IP laws. We grant you a limited, non-exclusive, non-transferable right to use the Service within your current plan.

6. Credits, Payments & Refunds

Credits are sold in packs and do not expire. Credits are consumed when you start a project. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer-service inquiries related to billing and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. See also our Refund Policy.

7. Service Levels

We work hard to keep the Service reliable but we do not guarantee uninterrupted or error-free operation. If a render fails on our side, the credits used for that project are returned automatically.

8. Suspension & Termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends; you may request export of your videos for a reasonable period before deletion.

9. Disclaimers & Liability

To the fullest extent permitted by law, we disclaim all implied warranties (including merchantability and fitness for purpose). Our aggregate liability to you is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages (loss of profits, data, or goodwill). Nothing in these Terms limits liability for fraud, death, or personal injury where the law prohibits exclusion.

10. Indemnity

You agree to indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

11. Changes

We may update these Terms from time to time. Material changes will be notified through the Service or by email.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which Tailored by Rubi is established, and disputes will be resolved in the competent courts of that jurisdiction.
